("Fort Chicago") announced today the closing of the previously announced acquisition of a 100% interest in Alberta Ethane Gathering System ("AEGS"), including all of the shares of Alberta Ethane Development Company Ltd. ("AEDC"), for an aggregate purchase price of approximately C$270 million. Fort Chicago anticipates that the acquisition of AEGS will result in a 2% to 4% accretion to the previously reported 2005 distributable cash range of $0.86 to $0.91 per Class A unit. The acquisition was initially financed by way of a previously established $300 million three-year committed revolving credit facility with three Canadian chartered banks. Privately-held NOVA Chemicals Corporation was founded in 1954 under the name NOVA Corporation of Alberta. NOVA Chemicals principal business is the production and marketing of plastics and chemicals. NOVA Chemicals operates an Olefins/Polyolefins business unit that produces and markets ethylene, polyethylene, higher-value polyethylene manufactured using its Advanced SCLAIRTECH technology, and a variety of chemical and energy products (commonly known as co-products). NOVA Chemicals also operates a Performance Styrenics business that produces and markets EPS and ARCEL resin.
Properties and Production Facilities
NOVA Chemicals products are manufactured at seven sites in North America.
